Terms of Service

These Terms of Service ("Terms") govern your use of MarkHub (the "Service"), a software service operated by TUNNING GROUP LLC, a Delaware limited liability company ("we", "us"). By creating an account, starting a trial, or subscribing, you agree to these Terms and to our Privacy & Data Handling Policy. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

1. What the Service is

MarkHub is a subscription tool for Amazon sellers. It connects to your own Amazon seller account through Amazon's official Selling Partner API authorization, and provides Buy Box repricing according to rules you configure, profit reporting per order, supplier price and stock monitoring, and inventory and order management. MarkHub is an independent product. It is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or any retailer whose public prices it reads. The Service is intended for business use by Amazon sellers; it is not offered for personal, family, or household purposes.

2. Your account and your Amazon account

You are responsible for keeping your login credentials confidential and for all activity under your account. You must own, or be authorized to operate, the Amazon seller account you connect. You remain solely responsible for complying with Amazon's policies, for the products you list, and for the prices you ultimately sell at. You may disconnect your Amazon account at any time from within the Service or from Seller Central.

Amazon's decisions. Amazon may suspend, restrict, penalize, or remove listings or seller accounts at its sole discretion, and may reject or override price changes. Those decisions are Amazon's, not ours: MarkHub is not responsible for them, including when they follow prices published under rules you configured, and you agree not to hold MarkHub liable for actions Amazon or any other marketplace takes against your account.

3. Repricing: you set the rules, the Service executes them

The repricer changes your listing prices on Amazon only within the strategy you configure — including the minimum price (your floor), the maximum price, and the behavior when there is no competition. The floor is treated as a hard stop: the Service will not publish a price below it. You are responsible for entering accurate product costs and for reviewing your strategies. We do not guarantee that you will win or keep the Buy Box, achieve any sales volume, or earn any profit. Amazon may reject, delay, or override price changes for reasons outside our control.

4. Plans, trial, and billing

Every plan includes every feature. Plans differ by two capacities: the number of listings MarkHub serves automatically (repricing, supplier monitoring and restock — listings above that limit stay visible but wait until you add capacity) and the number of products you can place under automatic supplier price and stock monitoring, as shown on our pricing page (from $69 to $699 per month at the time of writing). Payments are processed by Stripe; we never see or store your card number.

Free trial. New subscriptions start with a 14-day free trial. You provide a payment method at signup and are not charged during the trial. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged for the first billing period. One trial per customer: cancelling and resubscribing does not start a new trial.

Billing period. Subscriptions renew automatically, monthly or annually, until cancelled. The annual plan is billed once per year at the price of 11 months. Prices may change for future periods; we will notify you by email at least 30 days before a change applies to you, and you may cancel before it takes effect. Active subscriptions keep the price they were created at until they are changed or cancelled.

Changing plans. You can upgrade or downgrade at any time from within the Service. Changes are prorated: you are charged or credited for the unused part of the current period. Repricing is never affected by a plan change. If you move to a plan with fewer supplier-monitoring slots than you currently have selected, we tell you before you confirm, and your monitoring selection is cleared so you can choose again which products to watch within the new limit. Your products, prices, and data are not deleted.

Failed payments. If a renewal payment fails, the payment is retried and you are notified. While a payment is past due the Service shows a warning; if it is not resolved, the subscription is cancelled and access is limited to the billing page. Your data is not deleted (see section 6).

5. Cancellation and refunds

Cancel any time. You can cancel from the billing page in the Service (via the Stripe customer portal). Cancellation takes effect at the end of the current billing period: you keep full access until then, and you are not charged again.

Refund policy. The 14-day free trial is your evaluation window. Because the Service is delivered continuously and immediately, we do not issue refunds or credits for partial billing periods, unused time, or unused monitoring capacity, including on annual plans. Exceptions: (a) if we charged you in error, or (b) if the Service was unavailable for an extended period due to a fault on our side, contact us within 14 days of the charge and we will refund or credit the affected amount. Refunds, when issued, go back to the original payment method.

Chargebacks. Please contact us before opening a dispute with your bank; we resolve billing questions quickly. Charges appear on your statement as MARKHUB.

6. Your data

Your Amazon data, product costs, strategies, and reports belong to you. We process them only to provide the Service, as described in the Privacy & Data Handling Policy. When a subscription ends, we do not delete your workspace: if you resubscribe, your configuration is still there. You may request export or deletion of your data at any time, and we honor the retention limits Amazon imposes on selling-partner data.

7. Acceptable use

You agree not to: use the Service on an Amazon account you are not authorized to operate; attempt to access another customer's workspace; reverse engineer, scrape, or resell the Service; use it to violate Amazon's policies or any law; or interfere with its operation. We may suspend accounts that put other customers, our Amazon developer authorization, or our infrastructure at risk, and will tell you why.

8. Availability and changes

We work to keep the Service available and monitored around the clock, but we do not guarantee uninterrupted operation. Third parties we depend on — Amazon's APIs, retailer websites, hosting and payment providers — may change or fail. We may add, change, or remove features; if a change materially reduces what your plan includes, we will notify you in advance.

9. Disclaimer and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR DECISIONS YOU MAKE BASED ON DATA SHOWN IN THE SERVICE, FOR PRICES PUBLISHED WITHIN THE RULES YOU CONFIGURED, OR FOR ACTIONS TAKEN BY AMAZON OR ANY RETAILER AGAINST YOUR ACCOUNTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, OR LOSS OF THE BUY BOX.

10. Termination

You may stop using the Service and cancel at any time. We may terminate or suspend your access if you materially breach these Terms, with notice and, where reasonable, a chance to fix the issue. Sections 5, 6, 9, and 11 survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. Before filing, both sides agree to try to resolve the matter informally by email for at least 30 days.

12. Changes to these Terms

We may update these Terms. The "Last updated" date at the top changes when we do, and material changes are announced by email or inside the Service at least 14 days before they apply. Continued use after that date means you accept the updated Terms.
